Dissenting USB Shareholders. The Constituent Corporations agree that the Surviving Corporation will comply with the provisions of Section 351.455, as amended, and will promptly pay to the dissenting shareholders of USB the amount, if any, to which they shall be entitled under the provisions of said section.
