Dissolution Filing. Upon the dissolution of the Partnership, the General Partner (or, in the event there is no remaining General Partner, any Person or other entity elected pursuant to Section 12.1 hereof) shall promptly execute and cause to be filed Certificates of Dissolution in accordance with the Limited Partnership Act and the laws of any other states or jurisdictions in which the Partnership Act and the laws of any other states or jurisdictions in which the Partnership has filed Certificates.
Dissolution Filing. Upon compliance with the foregoing distribution plan, the Company shall cease to be such, and the Manager and Members shall execute, acknowledge and cause to be filed with the Secretary of State of the State of North Carolina articles of dissolution of the Company.
