Common use of Dissolution of Company Clause in Contracts

Dissolution of Company. The Company shall dissolve and its assets and business shall be wound up upon the occurrence of any of the following events: (a) Unanimous written consent of the Members to dissolve the Company;

Dissolution of Company. The Company shall dissolve and its assets and business shall be wound up dissolved upon the occurrence happening of any of the following events:events (each a “Dissolution Event”): (a) Unanimous The written consent of all of the Members Members; (b) Entry of a judicial decree of dissolution pursuant to dissolve the Act; or (c) The sale of substantially all of the Company;’s assets.

Dissolution of Company. The Company shall dissolve and its assets and business shall be wound up dissolved upon the occurrence of any of the following events: (a) Unanimous the written agreement of the Members holding a majority of the Units held by all Members; or (b) the written consent of all of the Members Manager(s); or (c) the sale of all or substantially all of the Property or other conversion of all or substantially all of the Property to dissolve cash. Notwithstanding anything to the Company;contrary contained herein or in the Act, the Withdrawal of any Member shall not cause Company to be dissolved.

The Company shall dissolve and its assets and business shall be wound up dissolved upon the occurrence of any of the following events: (a) Unanimous With the unanimous written consent agreement of the Members to dissolve the Company;; or (b) The sale of all or substantially all of the Company's assets. The Dissociation of a Member shall not cause the dissolution of the Company unless there is no remaining Member of the Company.
