Dissolution of NovaMed. Notwithstanding anything herein to the contrary, upon the dissolution or liquidation of NovaMed, or upon any merger or consolidation in which NovaMed is not the surviving corporation, the Option shall terminate, but Option Holder shall have the right, immediately prior to dissolution, liquidation, merger or consolidation to exercise the Option in full.
