Common use of Dissolution Clause in Contracts

Dissolution. The Company shall be dissolved upon (i) the adoption of a plan of dissolution by the Members acting by unanimity of the Votes and the approval of the Manager or (ii) the occurrence of any other event required to cause the dissolution of the Company under the Act.

Dissolution. The Company shall be dissolved and its business wound up upon (i) the adoption of a plan of dissolution decision made at any time by the Members acting by unanimity of Member to dissolve the Votes and the approval of the Manager Company, or (ii) upon the occurrence of any other event required to cause the of dissolution of the Company under the Act.

Dissolution. Dissolution. The Company shall be dissolved upon (i) the adoption of a plan of dissolution by the Members acting by unanimity of the Votes and the approval of the Manager or (ii) the occurrence of any other event required to cause the dissolution of the Company under following events: A. the Actelection by the Managers to dissolve and terminate the Company; or B. the election by the Members holding more than two-thirds of the Units to dissolve and terminate the Company.

Dissolution. The Company shall be dissolved only upon (i) the adoption of a plan of dissolution by the Members acting by unanimity of the Votes and the approval of the Manager or (ii) the occurrence of any other event required to cause the dissolution one of the following events: (a) the unanimous election of the Members to dissolve the Company; or (b) the termination of the Company’s business as a result of the sale or other disposition by the Company under of the ActSecurities.

Dissolution. The Company shall be dissolved upon the happening of any of the following: (ia) A vote by the adoption Sole Member to dissolve the Company; (b) The Company being adjudicated insolvent or bankrupt; or (c) Entry of a plan decree of dissolution by the Members acting by unanimity of the Votes and the approval of the Manager or (ii) the occurrence of any other event required to cause the dissolution of the Company under the Actjudicial dissolution.

Dissolution. The Company shall be dissolved upon dissolve only upon: (ia) the adoption of a plan of dissolution by the Members acting by unanimity vote of the Votes and the approval of the Manager or Member(s); or (iib) the occurrence of any other event required to cause which makes it unlawful for the dissolution business of the Company under to be carried on or for the ActMember(s) to carry on that business in Company.

Dissolution. The Company shall be dissolved upon (i) the adoption of a plan of dissolution by the Members acting by unanimity of the Votes and the approval of the Manager or (ii) the occurrence of any other event required to cause the dissolution of the following events (“Dissolution Event”): (a) The consent of the Managers; (b) The consent of the Sole Member; (c) Upon the sale by the Company of all or substantially all of its assets; (d) Upon the Company ceasing to be taxed as a partnership for Federal income tax purposes; or (e) Upon the entry of a decree of judicial dissolution under 18-802 of the Act.

Dissolution. The Company shall be dissolved upon (i) the adoption of a plan of dissolution by the Members acting by unanimity of the Votes and the approval of the Manager or (ii) the occurrence of any other event required to cause the dissolution of the Company under following events: A. The election by the ActManagers to dissolve or terminate the Company; or B. The election by the Members holding more than two-thirds of the Units to dissolve and terminate the Company.

Dissolution. The Company shall be dissolved upon (i) the adoption of a plan of dissolution by the Members acting by unanimity of the Votes and the approval of the Manager or (ii) the occurrence of any other event required to cause the dissolution of the Company following events: (a) the written consent of all of the Members to dissolve, wind-up and terminate the Company; or (b) the entry of a decree of judicial dissolution under the ActAct upon joint application of each of the Members hereunder; or (c) upon a Liquidity Event.

Dissolution. The Company shall be dissolved upon (i) the adoption of a plan of dissolution by the Members acting by unanimity of the Votes and the approval of the Manager or (ii) the occurrence of any other event required to cause the dissolution of the Company following events: (a) Written consent of a Majority in Interest; or (b) The entry of a decree of judicial dissolution under the Act.

Dissolution. The Company shall be dissolved upon (i) the adoption of a plan of dissolution by the Members acting by unanimity of the Votes and the approval of the Manager or (ii) the occurrence of any other event required to cause the dissolution of the Company following events (a “Dissolution Event”): (a) the written agreement of the Board; or (b) the entry of a decree of judicial dissolution under the Act.

Dissolution. The Company shall be dissolved upon (i) the adoption of a plan of dissolution by the Members acting by unanimity of the Votes and the approval of the Manager or (ii) the occurrence of any other event required to cause the dissolution of the following: (a) An event that causes dissolution under this Agreement; (b) The unanimous approval of the Class A Unitholders and of the Class A Preferred Unitholders; or (c) A decree of judicial dissolution. A court may declare judicial dissolution if the Company under the Actcannot carry out its business in conformity with its Articles of Organization and this Agreement.

Dissolution. Dissolution. The Company shall be dissolved upon the occurrence, if any, of the following events (ieach, a “Dissolution Event”): (a) Upon the adoption Unanimous Vote of the Members in their sole discretion; or (b) Upon entry of a plan decree of dissolution by the Members acting by unanimity of the Votes and the approval of the Manager or (ii) the occurrence of any other event required to cause the dissolution of the Company under the Actjudicial dissolution.

Dissolution. The Company shall be dissolved upon (ia) the adoption election of the Manager, (b) entry of a plan decree of dissolution by the Members acting by unanimity of the Votes and the approval of the Manager or (ii) the occurrence of any other event required to cause the judicial dissolution of the Company under pursuant to the Act, (c) at any time there are no Members, unless the Company is continued in accordance with the Act, or (d) an Approved Sale.

Dissolution. The Company shall be dissolved upon (i) the adoption of a plan of dissolution by the Members acting by unanimity of the Votes and the approval of the Manager or (ii) the occurrence of any other event required to cause the dissolution of the Company under following events: A. The election by the ActManagers to dissolve or terminate the Company; or B. The election by the Members holding more than two-thirds of the Units to dissolve and terminate the Company.

Dissolution. The Company shall will be dissolved upon (i) the adoption happening of a plan of dissolution by the Members acting by unanimity any of the Votes and the approval following events: (a) The express determination of the Manager or Member to dissolve the Company; or (iib) the occurrence Otherwise by operation of any other event required to cause the dissolution of the Company under the Actlaw.
