Distribution Centers. Set forth in Item 6.27 of the Disclosure Schedule is a true and correct list of all distribution centers leased by the Obligors as of the Closing Date.
Distribution Centers. (i) A Subsidiary of Seller owns, directly or indirectly, good and valid fee simple title in and to the real property commonly referred to as the Chillicothe Distribution Center, located in Chillicothe, Ohio (the “Chillicothe Distribution Center”), subject only to Permitted Exceptions, which is an Owned Real Property accurately identified on Schedule 1.2(a)(i), and good and valid leasehold interests in and to the real property commonly referred to as the Bedford Distribution Center, located in Bedford, Pennsylvania (the “Bedford Distribution Center”), and the Keyser Distribution Center, located in Keyser, West Xxxxxxxx (the “Keyser Distribution Center”, and, together with the Chillicothe Distribution Center, the Bedford Distribution Center, and the Keyser Distribution Center, the “Distribution Centers”).
(ii) Each Distribution Center other than the Chillicothe Distribution Center is a Leased Real Property accurately identified on Schedule 1.2(b)(ii) which is the subject of a valid Real Property Lease providing for the use for warehousing and distribution center purposes of the related Distribution Center by the lessee thereunder. Copies of the Real Property Leases for the Bedford and Keyser Distribution Centers have been provided by Seller to Purchaser, and such copies are true, correct and complete in all material respects.
(iii) All right, title and interest of Seller or a Subsidiary of Seller in and to all real property, fixtures, easements, licenses, access rights and appurtenances used in connection with the Business currently conducted at each Distribution Center is included as part of the Acquired Company Owned Real Property, Acquired Company Leased Real Property or is otherwise being transferred (directly or indirectly) by Seller or a Subsidiary of Seller to Purchaser pursuant to the terms of this Agreement, including, without limitation, all right, title and interest of Seller or any Subsidiary of Seller in and to any easements, licenses and other rights relating to (x) power, water and other utilities for the benefit of the Distribution Centers, (y) parking, access and egress (including railroad spur access and egress) as currently utilized at the Distribution Centers, and (z) the distribution of products by Seller or its Subsidiaries, in each case, as necessary for the operation of the Business currently conducted at each Distribution Center.
Distribution Centers. From and after the Closing Date, Inventory located at the Medford, Oregon and Knoxville, Tennessee distribution centers of MFI shall be used solely to support direct response sales fulfillment, provided, however, Borrowers may from time to time transfer Inventory from MFI to GCS in order to correct overstock situations and to use repackaged, slow moving, or discontinued items for promotional purposes or as GCS may otherwise reasonably deem appropriate.
Distribution Centers. During the term of this Agreement, CVS will designate Cardinal as the primary wholesale pharmaceutical supplier to all distribution centers operated by CVS ("CVS PHARMACY DCS") subject to Section 1(b)

Distribution Centers. All distribution centers (other than those distribution centers located within the Owned Real Property or included in the Leased Real Property) owned, leased, operated or used by Seller or any of its Affiliates (other than the Real Estate Subsidiaries), whether or not such distribution centers were or are used in the operation of the Business;

Distribution Centers. Etc. Exhibit K attached hereto identifies each ARFC Designated Distribution Center and each BH2 Designated Distribution Center. Exhibit J attached hereto identifies each bank and other financial institution at which each Distribution Center maintains post office boxes and deposit accounts for the receipt of collections for the portion of the Aggregate Receivables generated by such Distribution Center and identifies the related post office box address and the related account numbers. The Servicer represents and warrants that AmeriSource does not generate or otherwise create any Receivables (as defined in the AmeriSource Purchase Agreement) that are neither ARFC Designated Receivables nor BH2 Designated Receivables. The Servicer further represents and warrants that Exhibit K attached hereto includes as ARFC Designated Distribution Centers all distribution centers of each "Seller" party to the Affiliate Purchase Agreement.
