Distribution Date on January 2, 2008. If the Distribution Date is January 2, 2008 by reason of the Executive’s separation from service on or prior to such date, then in lieu of delivering Shares, Parent shall, or shall cause the Company to, deliver cash equal to the product of the number of Shares set forth in Section 1.1 and $5.00.
