Distribution Partnerships Sample Clauses

Distribution Partnerships. Notwithstanding the restriction on sublicenses above, Futurebiotics is expressly granted the right to engage third parties to distribute the Product on its behalf and under its branding on a country by country or territory by territory basis, but any such engagements must expressly restrict the third parties from distributing the Product through channels other than those permitted by this Agreement and outside the Territory. Futurebiotics shall be responsible for the actions of such third parties, and any distribution by such third parties that does not comply with the restrictions in this Agreement shall be deemed a material breach by Futurebiotics of this Agreement.
