Common use of Distribution, Transmission and Gas Businesses Clause in Contracts

Distribution, Transmission and Gas Businesses. Cease to own (directly by the Borrower, and not through Subsidiaries) the business of distributing electricity to end-users, the business of transmitting electricity, or the businesses of transmitting and distributing natural gas, each substantially as conducted by the Borrower as of the date of this Agreement (and the Borrower warrants that as of the date of this Agreement substantially all of such businesses conducted by the Borrower on a consolidated basis, and the assets relating thereto, are operated and owned by the Borrower directly and not through Subsidiaries).
