Common use of Distributions of Proceeds of Terminating Capital Transaction Clause in Contracts

Distributions of Proceeds of Terminating Capital Transaction. Subject to Article XI, the proceeds of any Terminating Capital Transaction shall be distributed in the following order of priority: (a) To the payment of the expenses of the Terminating Capital Transaction including, without limitation, brokerage commissions, legal fees, accounting fees and closing costs. (b) To the payment of debts, return of Capital Accounts and distribution to Members according to the priorities defined by Article XI hereof.
