Common use of Distributions of Revenues Clause in Contracts

Distributions of Revenues. Subject to Section 5.04(c), all revenues relating to the Designated Property shall be distributed to the Party to whom such revenues are allocated pursuant to Section 5.02; provided, however, that CWEI shall, in lieu of issuing Contribution Notices, be entitled to retain from any distribution to any Participant an amount necessary to discharge the costs and expenses allocated to such Participant pursuant to Section 5.01 that remains unpaid; provided, further, that if Payout would occur as a result of a distribution of cash funds to CWEI, such distribution shall be deemed to constitute two distributions: (i) the first distribution shall consist of the amount of cash funds necessary to cause Payout to occur, and (ii) the second distribution shall consist of the balance of the funds then distributed.
