Common use of Distributor Warranty Clause in Contracts

Distributor Warranty. At the time of each assignment of the amounts referred to in Schedule 6.5.1 the Distributor will be deemed to warrant to the Retailer in respect of each such amount that: (a) the Distributor is the legal and beneficial owner of that amount free from any mortgages, pledges, liens, charges or other encumbrances; and (b) the Distributor has not granted and will not grant any modification, extension, waiver, or indulgence that would prejudice enforcement of, or would otherwise affect, that amount.
