District Obligations. District is the Financial Partner and shall perform all Financial Partner Tasks identified on the List of Standard Obligations, attached hereto as Exhibit B unless the Task is checked “Not Applicable.” District shall assign ▇▇▇▇▇▇ ▇▇▇▇▇ as District’s Project Manager.
District Obligations. DISTRICT agrees to defend, indemnify and hold CITY, its elected and appointed officials, officers, and employees harmless against and from any and all losses claims, actions, damages, expenses, or liabilities, including reasonable attorney's fees, arising out of or in any way connected with the District's negligent performance of this Agreement. DISTRICT assumes workers' compensation liability for injury or death of its officers, agents, employees, and volunteers, and assumes no workers' compensation responsibility for the elected and appointed officials, officers, and employees of the CITY.
District Obligations. During the term of this Agreement or any extension, the District agrees that it will not lock out its employees, refuse to submit disputes to grievance or arbitration, or refuse to abide by the final award of an arbitrator unless it seeks judicial review of the arbitrator’s award. The same right of refusal shall be retained by the Association should it seek judicial review.
District Obligations. The District's sole obligation under this Article shall be to make the deductions required under this Article. The District shall have no obligation to terminate or discipline any employee under this Article. (3/14/91)
District Obligations. The District's obligations under this Article are limited to the payment of the above-indicated contribution. All terms and conditions of the various programs available pursuant to this Article are to be determined by the carriers' respective plans, and are to be resolved between the carrier and the unit member. All disputes with respect to the carriers' administration of such programs are not the responsibility of the District and are not subject to the grievance procedures of Article 5 of this Agreement. However, the District shall, whenever appropriate, offer aid and assistance to the unit member in obtaining proper service from the carriers.
District Obligations. The District's obligations under this Article are 1) to notify any Teacher who has failed to comply with the provisions of this Article that such Teacher must either become an Association member, pay a service fee, or establish an exempt status and make payment pursuant to the provisions of this Agreement; and 2) deduct from pay appropriate amounts pursuant to this Article. Under no circumstances shall the District be required to dismiss or otherwise discipline any Teacher for failure to fulfill their obligations to pay the fees established herein.
District Obligations. DISTRICT shall be responsible for all costs of providing such programs (including but not limited to instructors, supplies, overhead and administration) and shall be responsible for set up for and clean up after such programs.
A. DISTRICT shall operate and manage the Summer Programming, Adult Recreation Programming and Various Recreational Programming as described in Exhibit B, attached hereto and incorporated herein by this reference. The identified Programming offers recreational activities and events for various ages and interests at: Bagdouma Pool, Bagdouma Community Center, Bagdouma Park, Dateland Park and Rancho De Oro Park.
B. DISTRICT will provide all Programming at the agreed upon costs identified in Exhibit A.
C. The DISTRICT may request to provide additional programming and for such programming shall determine, collect and retain user fees in order to fund such programs and activities initiated by the DISTRICT. DISTRICT shall be responsible for any and all bad debts or collections of such fees. DISTRICT shall provide a current copy of user fees to CITY. The DISTRICT must obtain a facility use permit for all programming at City facilities.
D. DISTRICT shall program, staff and operate Bagdouma Pool from the Friday proceeding Memorial Day through Labor Day.
E. District shall ensure users of the CITY's Summer Programming are CITY residents.
F. DISTRICT shall provide other services requested by the CITY at an additional cost consistent with DISTRICT's cost recovery policy. Such services may include programming, administration, coordination and reservation management, or maintenance.
G. DISTRICT shall provide CITY with current emergency and maintenance contact information.
District Obligations. Failure of the District to perform its obligations as herein provided, which by exercise of reasonable diligence or effort it is unable to prevent, if occasioned by a contingency beyond its reasonable control, including Acts of God, fires, floods, wars, sabotage, accidents, labor disputes, and shortages, plant shutdown, equipment failure, voluntary or involuntary compliance with any law, order, rule or regulation of governmental agency or authority, or inability to obtain material (including power or fuel, equipment or transportation), shall not be deemed a default hereunder and shall not subject District to any liability whatsoever to the other party. In addition, Operators waive all rights against the District, its officers, commissioners, employees, and agents for loss due to business interruption, loss of use or other consequential loss extending beyond direct physical loss or damage to Operators’ property caused by, arising out of or resulting from the District’s inability or failure to perform its obligations under this Agreement, including any obligation the District has with regard to maintenance of the Facility.
District Obligations. It is understood that the district's only obligation is to provide and pay for the insurance programs as agreed above. The district will not be responsible for a denial of benefit claims by the insurance carrier.
