Common use of Document Execution and Performance Clause in Contracts

Document Execution and Performance. The Grantor and the Beneficiaries hereby authorize and direct the Trustee, and the Trustee hereby agrees, to: (i) at the request of the Servicer or the UTI Beneficiary, execute and deliver all agreements, instruments or documents necessary or advisable to accept the designation as nominee holder of legal title to Leases, Leased Vehicles and other Trust Assets as described herein and cause the related Certificates of Title to be issued in the name of the Trust or the Trustee on behalf of the Trust; (ii) enter into and perform its obligations under the Trust Documents; (iii) take action that is required or authorized to be taken by the Trustee or the Trust pursuant to applicable law as specified in the Trust Documents; (iv) exercise its rights and perform its duties as Trustee as specified in the Trust Documents; (v) at the direction of the Related Beneficiary and the Servicer (and, with respect to Trust Assets that are the subject of a Securitized Financing, subject to any additional requirements imposed by the related Securitized Financing Documents), (A) release, discharge, sell, assign, transfer, pledge, convey or otherwise dispose of any right, title or interest in and to any portion of the Related Trust Assets, (B) amend or revoke the terms hereof with respect to all or any portion of the Related Trust Assets and (C) enter into any and all agreements or instruments affecting all or any portion of the Related Trust Assets or affecting any other provision hereof; and (v) appoint the Servicer as the attorney-in-fact for the Trust as contemplated hereby or by any Servicing Agreement and direct the Servicer to perform such administrative duties on behalf of the Trust as are set forth herein and therein.

The Grantor Grantors and the Beneficiaries hereby authorize and direct the Trustee, and the Trustee hereby agrees, to: (i) at the request of the Servicer UTI Beneficiaries or the UTI BeneficiaryAdministrative Agent, execute and deliver all agreements, instruments or documents necessary or advisable to accept the designation as nominee holder of legal title to Leases, Leased Vehicles and other Trust Assets as described herein and cause the related Certificates of Title to be issued in the name of the Trust or the Trustee on behalf of the Trust; (ii) enter into and perform its obligations under the Trust Documents; (iii) take action that is required or authorized to be taken by the Trustee or the Trust pursuant to applicable law as specified in the Trust Documents; (iviii) exercise its rights and perform its duties as Trustee as specified in the Trust Documents; (viv) at the direction of the Related Beneficiary and the Servicer Administrative Agent (and, with respect to Trust Assets that are the subject of a Securitized Financing, subject to any additional requirements imposed by the related Securitized Financing Documents), (Aa) release, discharge, sell, assign, transfer, pledge, convey or otherwise dispose of any right, title or interest in and to any portion of the Related Trust Assets, (Bb) amend or revoke the terms hereof with respect to all or any portion of the Related Trust Assets and (Cc) enter into any and all agreements or instruments affecting all or any portion of the Related Trust Assets or affecting any other provision hereof; and (v) appoint the Servicer Administrative Agent as the attorney-in-fact for the Trust as contemplated hereby or by any Servicing Administration Agreement and direct the Servicer Administrative Agent to perform such administrative duties on behalf of the Trust as are set forth herein and therein.

The Grantor Notwithstanding any other provision contained herein to the contrary, the Grantor, the Servicer and the Beneficiaries Certificate Holders hereby authorize and direct the Trustee, and the Trustee hereby agrees, to: (i) at the request of the Servicer or the UTI Beneficiary, execute and deliver all agreements, instruments or documents necessary or advisable to accept the designation as nominee holder of legal title to Leases, Leased Vehicles and other Trust Assets as described herein and cause the related Certificates of Title to be issued in the name of the Trust or the Trustee Transaction Documents on behalf of the Master Trust; (ii) enter into at the written direction of the applicable Certificate Holder and/or the Servicer and perform its obligations under subject to the terms of this Master Trust Documents; (iii) Agreement or any SUBI Supplement, take action that is required or authorized to be taken by the Trustee or the Trust pursuant to applicable law or as specified in the Trust Transaction Documents; (iv) exercise its rights and perform its duties as Trustee as specified in the Trust Documents; (viii) at the written direction of the Related Beneficiary and applicable Certificate Holder and/or the Servicer (and, with respect to Trust Assets that are the subject of a Securitized Financing, subject to any additional requirements imposed by the related Securitized Financing Documents)Servicer, (Aa) release, discharge, sell, assign, transfer, pledge, convey or otherwise dispose of any right, title or interest in and to any portion of the Related Trust applicable UTI Assets and/or SUBI Assets, (Bb) amend or revoke the terms hereof with respect to all or any portion of the Related Trust applicable UTI Assets and/or SUBI Assets and (Cc) enter into any and all agreements or instruments affecting all or any portion of the Related Trust applicable UTI Assets and/or SUBI Assets or affecting any other provision hereof; and (viv) appoint the Servicer as the attorney-in-fact for the Trust as contemplated hereby or by any the Servicing Agreement and direct to allow the Servicer to perform such administrative duties on behalf of the Trust as are set forth herein and therein; provided, however, that the Trustee shall not be required to execute any such other document, instrument or agreement imposing any obligation or liability on the Trustee or adversely affecting the Trustee unless the provisions thereof imposing such obligation or liability or adversely affecting the Trustee are, in each case, in form and substance satisfactory to the Trustee.

The Grantor Initial Beneficiary hereby authorizes and the Beneficiaries hereby authorize and direct directs the Trustee, and the Trustee hereby agrees, to: (i) at the request of the Servicer or Holder(s) of the UTI BeneficiaryCertificate(s) or related SUBI Certificates, execute and deliver all agreements, instruments or documents necessary or advisable for the Trust to accept the designation as nominee holder of legal acquire title to Leases, Leased Vehicles Equipment and other Trust Assets as described herein and cause the related Certificates of Title to be issued in the name of the Trust or the Trustee on behalf of the Trust; (ii) enter into and perform its obligations under the Trust Documents; (iii) take action that is required or authorized to be taken by the Trustee or the Trust pursuant to applicable law as specified in the Trust Documents; (iviii) exercise its rights and perform its duties as Trustee as specified in the Trust Documents; (viv) at the direction of the Related Beneficiary and the Servicer related Holders (and, with respect to the related Trust Assets that are the subject of to a Securitized Financing, subject to any additional requirements imposed by the related Securitized Financing Documents), ) (Aa) release, discharge, sell, assign, transfer, pledge, convey or otherwise dispose of any right, title or interest in and to any portion of the Related related Trust Assets, (Bb) amend or revoke the terms hereof with respect to all or any portion of the Related related Trust Assets and (Cc) enter into any and all agreements or instruments affecting all or any portion of the Related related Trust Assets or affecting any other provision hereof; and (v) appoint the Servicer for any UTI or SUBI as the attorney-in-attorney in fact for the Trust as contemplated hereby or by any Servicing Agreement Agreement; and direct the Servicer to perform such administrative duties (vi) enter into, on behalf of the Trust, all Trust as are set forth herein and thereinDocuments to which the Trust is a party.
