Documentation Agents, Syndication Agents, etc Clause Samples
The 'Documentation Agents, Syndication Agents, etc.' clause defines the roles and responsibilities of various administrative agents involved in a syndicated loan or similar financial arrangement. It typically outlines the duties of documentation agents, who manage the preparation and finalization of loan documents, and syndication agents, who coordinate the process of assembling a group of lenders. By clearly delineating these roles, the clause ensures efficient administration and communication among parties, reducing confusion and streamlining the execution of complex financial transactions.
Documentation Agents, Syndication Agents, etc. Neither any of the Lenders identified in this Agreement as a “co-agent” nor as a Documentation Agent or a Co-Syndication Agent shall have any right, power, obligation, liability, responsibility or duty under this Agreement other than those applicable to all Lenders as such. Without limiting the foregoing, none of such Lenders shall have or be deemed to have a fiduciary relationship with any Lender. Each Lender hereby makes the same acknowledgments with respect to such Lenders as it makes with respect to the Administrative Agent in Section 10.11.
