Common use of Documentation and Information Clause in Contracts

Documentation and Information. Stockholder shall permit and hereby authorizes Parent to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document in connection with the Offer or the Merger and any transactions contemplated by the Merger Agreement, Stockholder’s identity and ownership of the Subject Shares and the nature of Stockholder’s commitments and obligations under this Agreement.

Documentation and Information. The Stockholder shall permit and hereby authorizes Parent and the Company to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document that Parent or the Company reasonably determines to be necessary in connection with the Offer or the Merger and any transactions contemplated by of the Merger Contemplated Transactions, a copy of this Agreement, the Stockholder’s identity and ownership of the Subject Shares and Pre-Funded Warrants and the nature of the Stockholder’s commitments and obligations under this Agreement. Each of Parent and the Company is an intended third-party beneficiary of this Section 7.

Documentation and Information. Such Stockholder shall permit and hereby authorizes Parent to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document that Parent reasonably determines to be necessary in connection with the Offer or the Merger and any transactions contemplated by the Merger Agreement, such Stockholder’s identity and ownership of the Subject Shares and the nature of such Stockholder’s commitments and obligations under this Agreement; provided, that the Company shall give each such stockholder and its, her or his legal counsel a reasonable opportunity to review and comment on such publications or disclosures prior to being made public.

Stockholder shall permit and hereby authorizes the Company and Parent to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document document, in each case that the Company or Parent reasonably determines to be necessary in connection with the Offer or the Merger and any transactions contemplated by of the Merger AgreementContemplated Transactions, StockholderXxxxxxxxxxx’s identity and ownership of the Subject Shares and the nature of Stockholder’s commitments and obligations under this Agreement. The Company is an intended third-party beneficiary of this Section 1.3.

Such Stockholder shall permit and hereby authorizes Parent and the Purchaser to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document that Parent or the Purchaser reasonably determines to be necessary in connection with the Offer or Offer, the Merger and any transactions contemplated by the Merger Agreement, such Stockholder’s identity and ownership of the Subject Shares and the nature of such Stockholder’s commitments and obligations under this AgreementAgreement (provided that any such publication, disclosure, release or disclosure with respect to any matter related to such Stockholder shall be made with respect to all Stockholders).

Such Stockholder shall shall, subject to reasonable prior approval of such Stockholder, permit and hereby authorizes the Parent Parties to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document that any Parent Party reasonably determines to be necessary under Applicable Law in connection with the Offer or the Merger Transaction and any transactions contemplated by the Merger Agreement, such Stockholder’s identity and ownership of the Subject Shares and the nature of such Stockholder’s commitments and obligations under this Agreement.

The Company is an intended third-party beneficiary of this Section 1.3.

Potomac is an intended third-party beneficiary of this Section 1.4.

Parent is an intended third-party beneficiary of this Section 4 (c).

Each Stockholder shall permit and hereby authorizes Parent and the Company to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document that Parent or the Company reasonably determines to be necessary in connection with the Offer Mergers, the Transactions or the Merger and any transactions contemplated by the Merger this Agreement, a copy of this Agreement, such Stockholder’s identity name and ownership of the Subject Shares Securities prior to the Closing and the nature of such Stockholder’s commitments and obligations under this Agreement.

The Stockholder shall permit and hereby authorizes Parent and the Company to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document that Parent or the Company reasonably determines to be necessary in connection with the Offer or the Merger and any transactions contemplated by of the Merger Contemplated Transactions, a copy of this Agreement, the Stockholder’s identity and ownership of the Subject Shares Securities and the nature of the Stockholder’s commitments and obligations under this Agreement. The Company is an intended third-party beneficiary of this Section 1.3.

The Stockholder shall permit and hereby authorizes Parent and the Company to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document that Parent or the Company reasonably determines to be necessary in connection with the Offer or the Merger and any transactions contemplated by of the Merger Contemplated Transactions, a copy of this Agreement, the Stockholder’s identity and ownership of the Subject Shares Securities and the nature of the Stockholder’s commitments and obligations under this Agreement. Parent is an intended third-party beneficiary of this Section 1.3.

Such Stockholder shall permit and hereby authorizes Parent and Purchaser to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document that Parent or Purchaser reasonably determines to be necessary in connection with the Offer or Offer, the Merger and any transactions contemplated by the Merger Agreement, such Stockholder’s identity and ownership of the Subject Shares and the nature of such Stockholder’s commitments and obligations under this Agreement. Parent will consult, to the extent practicable, with counsel to such Stockholder concerning the disclosure referred to in the preceding sentence.
