Common use of Documentation and Proceedings Clause in Contracts

Documentation and Proceedings. All corporate and legal proceedings and all instruments in connection with the transactions contemplated by this Agreement and the other Operative Documents shall be satisfactory in form and substance to the Bank and its counsel and the Bank shall have received all information and copies of all documents, including records of corporate proceedings, governmental approvals and incumbency certificates which it may have reasonably requested in connection with the transactions contemplated by this Agreement and the other Operative Documents, such documents where appropriate to be certified by proper officers.

Documentation and Proceedings. All corporate and legal proceedings and all instruments in connection with the transactions contemplated by this Agreement and the other Operative Documents shall be satisfactory in form and substance to the Administrative Agent and the Issuing Bank and its counsel the Administrative Agent and the Issuing Bank shall have received all information and copies of all documents, including records of corporate proceedings, governmental approvals and incumbency certificates which it may have reasonably requested in connection with the transactions contemplated by this Agreement and the other Operative Documents, such documents where appropriate to be certified by proper officers.

All corporate and legal proceedings and all instruments documents and papers in connection with the transactions contemplated by this Agreement and the other Operative Documents shall be reasonably satisfactory in form and substance to the Bank (including without limitation those documents listed in Section 3.4, 3.5 and its counsel 3.6), and the Bank shall have received all information and copies of all documents, including records of corporate proceedings, governmental approvals and incumbency certificates which it may reasonably have reasonably requested in connection with the transactions contemplated by this Agreement and the other Operative Documentstherewith, such documents where appropriate to be certified by an Authorized Representative of Borrower or proper officersGovernmental Authorities.
