Documents and Applicable Law. In all matters relating to the performance of this Agreement, the Administrator will act in conformity with the Agreement and Declaration of Trust, By-Laws and registration statement of the Trust and with the directions of the Board and Trust officers and will conform to and comply with the requirements of the 1940 Act and all other applicable federal and state laws and regulations. In compliance with Rule 31a-3 under the 1940 Act, the Administrator hereby agrees that any records which it maintains for the Trust are the property of the Trust, and further agrees to surrender promptly to the Trust or its agents any of such records upon the Trust's request. The Administrator further agrees to arrange for the preservation of the records required to be maintained by Rule 31a-1 under the 1940 Act for the periods prescribed by Rule 31a-2 under the 1940 Act.
Documents and Applicable Law. In all matters relating to the performance of this Agreement, the Administrator will act in conformity with the Articles of Incorporation, By-Laws and Registration Statements of the Fund and with the directions of the Fund's Board of Directors and Fund executive officers and will conform to and comply with the requirements of the 1940 Act and all other applicable federal or state laws and regulations.
