Documents and Items to be Delivered by Seller at the Closing. At the Closing, Seller shall deliver to Buyer: (a) A certificate, dated the Closing Date, signed by an authorized officer of Seller, in form and substance reasonably acceptable to Buyer, certifying that each of the conditions set forth in Section 3.01(d) and Section 3.01(e) have been satisfied; (b) a certificate of the Secretary of Seller, dated as of the Closing Date, in form and substance satisfactory to Buyer attaching and certifying a certificate of good standing and legal existence of Seller issued by the Secretary of State of the State of Delaware and each jurisdiction in which Seller is licensed or qualified to conduct business as a foreign entity; (c) the Bxxx of Sale, duly executed by an authorized officer of Seller; (d) such other documents and items as may reasonably be requested by Buyer to effect the transactions contemplated hereunder.
