DOCUMENTS OF INCORPORATION. This Agreement is expressly made subject to all Attachments hereto, to all of the attachments, provisions, requirements, federal, state and local laws, rules and regulations as of the ___ day of , 2011, between the City of Durham and Builders of Hope, Inc.; and the Funding Agreement between the City and HUD and to any and all requirements, whether federal, state or local, verbal or written, placed upon the City. All of the foregoing are hereby made a part of this Agreement and incorporated herein by reference.

DOCUMENTS OF INCORPORATION. The Tenderer shall attach to this page a certified copy of the certificate of incorporation of his/her company, close corporation or partnership. In case of a joint venture between two or more firms, the tenderer shall attach a copy of the document of incorporation of the joint venture. A valid Letter of Good Standing from the COMPENSATION COMMISSIONER or a certified copy thereof must be attached to this page unless the tenderer is registered on the Accredited Supplier Database of the Municipality and the Municipality has a valid Letter of Good Standing from the Compensation Commissioner or a certified copy thereof for the tenderer on record. The onus is on the tenderer to ensure that the Municipality has a valid Letter of Good Standing from the Compensation Commissioner or a certified copy thereof on record. A letter of good standing for “tender purposes” from the Department of Labour will also be accepted. If no such document/s as specified by the Municipality is submitted or on record, the tender will be disqualified. A valid Letter of Good Standing from THE FEDERATED EMPLOYERS’ MUTUAL ASSURANCE COMPANY LIMITED or a certified copy thereof must be attached to this page unless the tenderer is registered on the Accredited Supplier Database of the Municipality and the Municipality has a valid Letter of Good Standing from The Federated Employers’ Mutual Assurance Company Limited or a certified copy thereof for the tenderer on record. The onus is on the tenderer to ensure that the Municipality has a valid Letter of Good Standing from The Federated Employers’ Mutual Assurance Company Limited or a certified copy thereof on record. A letter of good standing for “tender purposes” will also be accepted. If no such document/s as specified by the Municipality is submitted or on record, the tender will be disqualified.

Any lawsuit or proceeding brought by any Person before a Governmental Authority, whether judicial, arbitral, or extrajudicial, or any information request, requisition, or action by any Person challenging the validity, legality, opposability, binding nature, or enforceability of the Documents of Incorporation;
DOCUMENTS OF INCORPORATION. In any case of conflict between the documents of incorporation of INTERAD and the provisions of this Agreement, the provisions of this Agreement shall govern.
