Common use of Documents to be Delivered by Buyer Clause in Contracts

Documents to be Delivered by Buyer. (a) A copy of (i) the Certificate of Incorporation of the Buyer, certified as correct by the Buyer; and (ii) the Bylaws of the Buyer certified as correct by the Buyer; and (iii) a certificate of the Delaware Tax Commission, Franchise Tax Division, to the effect that the Buyer is in good standing and has paid all franchise taxes in such state. (b) All corporate and other records of or applicable to the Buyer included but not limited to, current and up-to-date minute books, stock transfer books and registers, books of accounts, leases and material contracts. (c) Such other documents or certificates as shall be reasonably required by Buyer or its counsel in order to close and consummate this Agreement.
