Documents to be Delivered by Raleigh to Glamis. At Closing, Raleigh shall deliver to Glamis the following: (i) The Initial Payment by wire transfer in immediately available funds; (ii) A certified resolution of the Board of Directors of Raleigh authorizing this Agreement and completion of the transaction contemplated herein; and (iii) A certificate duly executed by an authorized officer of Raleigh confirming that the representations and warranties of Raleigh provided in this Agreement remain true and correct as of the date of final execution.
