Common use of DOCUMENTS TO BE DELIVERED BY SUB Clause in Contracts

DOCUMENTS TO BE DELIVERED BY SUB. As of the Effective Date, Sub will, and shall cause the members of the Sub Group to, deliver to Parent or the applicable member of the Parent Group, all of the following: SECTION 4.2.1 In each case where Sub or a member of the Sub Group is a party to any agreement or instrument referred to in Section 4.1, a duly executed counterpart of such agreement or instrument; SECTION 4.2.2 A certificate or certificates representing the Sub Shares; and, SECTION 4.2.3 Resignations of each person who is an officer or director of Sub, immediately prior to the Effective Date, and who will be an employee, officer or director of Parent from and after the Effective Date.
