Common use of Documents to be Delivered by the Seller Clause in Contracts

Documents to be Delivered by the Seller. At the Closing hereunder, the Sellers shall deliver to the Purchasers: (a) Stock certificates representing all of the shares of Sellers' Stock to be purchased and sold hereunder, together with duly executed stock powers; (b) A duly executed certificate in the form described in Section 6.3 above.

Documents to be Delivered by the Seller. At the Closing hereunderClosing, Xxxxxx and the Sellers shall deliver deliver, or cause to be delivered, to Purchaser the Purchasersfollowing: (a) Stock stock certificates representing all of the shares of Sellers' Stock to be purchased and sold hereunderShares, together with duly executed endorsed in blank or accompanied by stock transfer powers; (b) A duly executed certificate the certificates referred to in the form described Sections 8.2(c) and 8.2(d) hereof; and (c) copies of all consents and waivers referred to in Section 6.3 above8.1(e) hereof.

At the Closing hereunderClosing, the Sellers Seller shall deliver deliver, or cause to be delivered, to the PurchasersPurchaser the following: (a) Stock stock certificates representing the Shares, duly endorsed in blank or accompanied by stock transfer powers and with all of the shares of Sellers' Stock to be purchased and sold hereunder, together with duly executed requisite stock powerstransfer tax stamps attached; (b) A duly executed certificate in the form described certificates referred to in Section 6.3 above7.1(d) and 7.1(e) hereof; (c) copies of all consents and waivers referred to in Section 7.1(g) hereof; and (d) such other documents as the Purchaser shall reasonably request.
