Common use of DOCUMENTS TO BE DELIVERED TO SELLER Clause in Contracts

DOCUMENTS TO BE DELIVERED TO SELLER. At or prior to the Closing, Purchaser shall deliver the following documents to Seller: 5.1 Certified copies of resolutions of the Board of Directors of Purchaser approving and authorizing the execution, delivery and performance of this Agreement and any other documents required to be executed and delivered by Purchaser hereunder; 5.2 Evidence of requisite regulatory approval for Purchaser to consummate the transactions contemplated hereby; 5.3 An Instrument of Transfer, Assignment and Assumption, in the form in Exhibit 3, whereby Purchaser assumes and agrees to pay or perform the Assumed Liabilities; and 5.4 All documents and other instruments as may be required to be delivered by Purchaser pursuant to the terms of the sale of the Real Property in Schedule 1.1C.
