Common use of Documents to be Furnished Clause in Contracts

Documents to be Furnished. The following documents, including any amendments thereto, will be provided contemporaneously with the execution of the Agreement to the Custodian by the Fund: (a) A copy of the Fund’s Declaration of Trust, certified by the Secretary; (b) A copy of the Fund’s Bylaws, certified by the Secretary or other Authorized Person; (c) A copy of the resolution of the sole initial trustee of the Fund appointing the Custodian, certified by the Secretary or other Authorized Person; (d) A copy of the current prospectus of the Fund (the “Prospectus”); (e) A certification of the Chairman or the President and the Secretary or other Authorized Person of the Fund setting forth the names and signatures of the current Officers of the Fund and other Authorized Persons; and (f) An executed authorization required by the Shareholder Communications Act of 1985, attached hereto as Exhibit C.

Documents to be Furnished. The following documents, including any amendments thereto, will be provided contemporaneously with the execution of the Agreement to the Custodian by the Fundeach Trust: (a) A copy of the FundTrust’s Declaration declaration of Trusttrust, certified by the Secretary; (b) A copy of the FundTrust’s Bylawsbylaws, certified by the Secretary or other Authorized PersonSecretary; (c) A copy of the resolution resolutions of the sole initial trustee Board of Trustees of the Fund Trust appointing the Custodian, certified by the Secretary or other Authorized PersonSecretary; (d) A copy of the current prospectus prospectus(es) of the Fund Fund(s) (the “Prospectus”); (e) A certification of the Chairman of the Board of Trustees or the President and the Secretary or other Authorized Person of the Fund Eagle Family of Funds setting forth the names and signatures of the current Officers of the Fund and any Officer or other person who is an Authorized PersonsPerson; and (f) An executed authorization required by the Shareholder Communications Act of 1985, attached hereto as Exhibit C.D.

Documents to be Furnished. The following documents, including any amendments thereto, will be provided contemporaneously with the execution of the Agreement to the Custodian by the FundTrust: (a) A copy of the FundTrust’s Declaration declaration of Trusttrust, certified by the Secretary or Assistant Secretary; (b) A copy of the FundTrust’s Bylawsbylaws, certified by the Secretary or other Authorized PersonAssistant Secretary; (c) A copy of the resolution of the sole initial trustee Board of Trustees of the Fund Trust appointing the Custodian, certified by the Secretary or other Authorized PersonAssistant Secretary; (d) A copy of the current prospectus prospectuses of the Fund (the “Prospectus”); (e) A certification of the Chairman or the (i) President and (ii) the Secretary or other Authorized Person of the Fund Trust or Assistant Secretary, setting forth the names and signatures of the current Officers of the Fund Trust and other Authorized Persons; and (f) An executed authorization required by the Shareholder Communications Act of 1985, attached hereto as Exhibit C.D.

Documents to be Furnished. The following documents, including any amendments thereto, will be provided contemporaneously with the execution of the Agreement to the Custodian by the each Fund: (a) A copy of the Fund’s Declaration certificate of Trustformation, certified by the Secretary; (b) A copy of the Fund’s Bylawsbylaws, certified by the Secretary or other Authorized Personpartnership agreement; (c) A copy of the resolution of the sole initial trustee Board of Directors (certified by the Secretary) or the General Partner, as appropriate, of the Fund appointing the Custodian, certified by the Secretary or other Authorized Person; (d) A copy of the current prospectus offering document of the Fund Fund, if applicable (the “Prospectus”); (e) A certification of the Chairman or the President and the Secretary Secretary, or other Authorized Person the General Partner, as appropriate, of the Fund setting forth the names and signatures of the current Officers of the Fund and other Authorized Persons; and (f) An executed authorization required by the Shareholder Communications Act of 1985, attached hereto as Exhibit C.D.
