Documents to Be Given to Trustee. The Trustee, subject to the provisions of Sections 6.1 and 6.2, may receive an Officers' Certificate from the Issuer and an Opinion of Counsel as conclusive evidence that any supplemental indenture executed pursuant to this Article Eight complies with the applicable provisions of this Indenture.

The Trustee, subject to the provisions of Sections 6.1 SECTION 5.1 and 6.2SECTION 5.2 hereof, may shall receive an Officers' Certificate from the Issuer and an Opinion of Counsel as conclusive evidence that any such supplemental indenture executed pursuant to this Article Eight complies with the applicable provisions of this IndentureIndenture and that all conditions precedent to the execution of such supplemental indenture have been met.
