Documents to Buyer. Escrow Holder shall deliver to Buyer the original FIRPTA Certificate executed by Seller, one (1) original of the Association Estoppel Certificate, two (2) originals of the General Assignment, one (1) conformed copy of the Deed and any other recorded documents, and one (1) original of any other document executed in connection with the Closing.
Documents to Buyer. Escrow Holder shall deliver to Buyer the original FIRPTA Certificate, the original California Exemption Certificate (as applicable), a conformed copy of the Grant Deed, the Preliminary Title Report, and each other document (or copies thereof) deposited into Escrow by Seller pursuant hereto, including, without limitation, those documents referenced in Section 8.
Documents to Buyer. Deliver to Buyer an original of the Tax Certificates and Xxxx of Sale, the Tenant Insurance Certificates and counterpart originals of the Leaseback Agreement and the General Assignment executed by Seller, a conformed recorded copy of the Deed, and, when issued, the Title Policy;
Documents to Buyer. Escrow Holder shall deliver to Buyer the original FIRPTA Certificate, the original California Exemption Certificate (as applicable), and a conformed copy of each of the Deed as duly recorded among the official land records of the County of Los Angeles, the Natural Hazard Report, one of the instruments described in subsection (f) of Section 7 hereof, and each other document (or copies thereof) deposited into Escrow by Seller pursuant hereto, including, without limitation, those documents referenced in Section 8.
Documents to Buyer. Deliver to Buyer an original of the Tax Certificates, and counterpart originals of the Lease-Back Lease, if applicable, and General Assignment appropriately executed by Seller, a conformed recorded copy of the Deed, and, when issued, the Title Policy; 6.8
Documents to Buyer. Deliver to Buyer one (1) original of the Assignment of Infrastructure Rights, one (1) original of the Agreement Regarding Construction Obligations, one (1) original of the Infrastructure CFD Bond Disclosure Assumption Agreement, the original FIRPTA Certificate, the original California Affidavit, and one (1) original of the RMC Lease Assignment, together with any other documents to be delivered to Buyer hereunder.
Documents to Buyer. Deliver to Buyer an original of the Tax Certificates, and counterpart originals of the Assignment of Leases, Assignment of Contracts, Xxxx of Sale and General Assignment appropriately executed by the party that constitutes Seller with respect to each Parcel, originals of the LC Documentation and OPLP Guaranty, a conformed recorded copy of the Deed applicable to each Parcel, and, when issued, the Title Policy with respect to each Parcel; and
Documents to Buyer. Deliver to Buyer originals of the Xxxx ------------------ of Sale, and the FIRPTA Certificate, and counterparts of the Assignment of Leases, Assignment of Interests, Partner's Guaranties, the Assignment of Contracts and the General Assignment appropriately executed by Seller, the approved form of letter described in Paragraph 8(g) above addressed to the Tenants advising such Tenants of this transaction and any other documents which are to be delivered to Buyer hereunder;
Documents to Buyer. Deliver to Buyer one (1) original of the Assignment of Infrastructure Rights, one (1) original of the Agreement Regarding Construction *** Confidential treatment has been requested for portions of this exhibit. The copy filed herewith omits the information subject to the confidentiality request. Omissions are designated as [***]. A complete version of this exhibit has been filed separately with the Securities and Exchange Commission. Obligations, one (1) original of the Infrastructure CFD Bond Disclosure Assumption Agreement, the original FIRPTA Certificate, and the original California Affidavit, together with any other documents to be delivered to Buyer hereunder.
