Common use of Dollar Basket Clause in Contracts

Dollar Basket. Shareholders shall not be obligated to indemnify the Indemnities for any single Loss covered by Section 7(b) (consolidating into any single Loss any series of related events, factors or circumstances giving rise to liability on the same or a substantially related basis) unless such Loss exceeds $250,000, in which case Shareholders shall be obligated to indemnify the Indemnities for the full amount of such Loss (subject to the other limitations set forth in clauses (i) and (ii) of this Section 7(c)).
