DRAFT REGISTRATION STATEMENT. The text of, and the financial statements and other financial information contained in, the Draft Registration Statement, insofar as they were provided by the Seller expressly for inclusion therein but not otherwise, are true, accurate and complete in all material respects and do not include an untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein not misleading.
DRAFT REGISTRATION STATEMENT. The Draft Registration Statement and the Registration Statement comply as to form in all material respects with the requirements of the Form S-1 Registration Statement and applicable requirements under Federal laws and regulations, provided that the foregoing does not apply to any information that the Company and the Stockholders have furnished to IES specifically for inclusion in the Registration Statement.
