Common use of Drafting of Agreement Clause in Contracts

Drafting of Agreement. The Parties acknowledge that (i) this Agreement is the result of negotiations among, and has been reviewed by, each Party and its respective counsel, and (ii) all Parties contributed to the drafting of this Agreement. Accordingly, this Agreement shall be deemed to be the product of all Parties, and no ambiguity shall be construed in favor of or against any Party on the basis that it drafted the ambiguous provision.

Drafting of Agreement. The Parties acknowledge Each Party acknowledges that (i) this Agreement is the result of negotiations among, and has been reviewed by, each Party it and its respective counsel, and (ii) all Parties attorneys have contributed to the drafting of this Agreement. Accordingly, It is expressly agreed that this Agreement shall be deemed to be the product of all Parties, and no ambiguity shall not be construed in favor of or against any Party on the basis of who drafted this Agreement or who supplied the form of Agreement. Each Party agrees that this Agreement has been purposefully drawn and correctly reflects its understanding of the transactions contemplated hereby. Each Party further acknowledges that it drafted the ambiguous provisionhas been advised and represented by its own counsel in negotiating and entering into this Agreement.

Accordingly, all Parties hereto acknowledge and agree that this Agreement shall not be deemed to be prepared or drafted by one Party or another, or the product of all Partiesattorneys for one Party or another, and no ambiguity shall be construed in favor of or against any Party on the basis that it drafted the ambiguous provisionaccordingly.
