dresser. Dresser has the requisite corporate power and authority to execute and deliver and to perform its obligations under this Agreement. The execution and delivery by Dresser of this Agreement and the performance of its obligations hereunder have been duly authorized by all necessary corporate or other action on the part of Dresser. This Agreement has been duly executed and delivered by Dresser and, assuming the due authorization, execution and delivery of this Agreement by First Reserve, constitutes a valid and binding obligation of Dresser, enforceable against Dresser in accordance with its terms, except as the availability of equitable remedies may be limited by equitable principles of general applicability.
