DTC Authorization. The Common Stock shall be DTC authorized and participating in the DWAC/FAST systems. If despite the Investor’s commercially reasonable efforts, the Investor’s prime broker relationships notify the Investor that they are unable to settle the Pre-Settlement Shares and/or the Settlement Shares for any reason, the applicable Advance Notice shall be considered cancelled with no further force and effect and such Closing shall not occur.
