Dubbing/Subtitling. If Licensor has available out of stock on-hand a dubbed or subtitled version (if dubbed or subtitled version rights are included in the license hereunder as reflected in the “Licensed Language” definition) of a Program licensed hereunder to Licensee, Licensor shall provide such materials to Licensee at Licensee’s cost. If Licensor is unable to provide all materials for a dubbed or subtitled version (if dubbed or subtitled version rights are included in the license hereunder as reflected in the “Licensed Language” 22efinition) of a Program licensed hereunder to Licensee out of available stock on-hand, Licensor shall have the right to create such dubbed or subtitled version and provide copies of such materials, in each case at Licensee’s sole cost. If Licensor elects not to create such a version, Licensee may, only with the prior written consent of Licensor, and only in strict accordance with all third party contractual restrictions and Licensor’s technical specifications, prepare dubbed or subtitled versions (if dubbed or subtitled version rights are included in the license hereunder as reflected in the “Licensed Language” definition) of such Program in the Licensed Language, which versions shall be sufficient to cover Licensor’s worldwide usage of such dubbed or subtitled versions in all media throughout the universe, the costs (including, without limitation, any third party contractual obligations, residuals and other reuse fees) for which shall be the sole responsibility of Licensee; provided, however, that (i) immediately upon Licensee’s completion of the original dubbing or subtitling of a Program licensed hereunder, Licensee shall forward to Licensor a copy of such originally dubbed or subtitled version, and (ii) Licensee shall allow Licensor unrestricted access, at no charge to Licensor, to the masters of the dubbed and/or subtitled versions during such Program’s License Period. Following the conclusion of the License Period for any Program licensed hereunder or any other termination of this Agreement, Licensee shall deliver to Licensor the master and all copies of all dubbed and subtitled versions of such Program. In connection with the creation of any dubbed or subtitled version, Licensee shall be responsible for obtaining all necessary third party clearances such that any subsequent use of such materials by Licensor or its designee shall be free and clear of any residual or reuse fees. Dubbing/Subtitling. Licensee shall have access to any available existing Authorized Local Language physical materials. In Ihe event such Local Language Versions are available, but not directly in possession of Licensor, Licensor shall give Licensee all necessary authorization such that Licensee may access such versions from any third parties in possession of those versions. In this case Licensee must negotiate directly the pricing of Local Language Versions with the holder of those versions. Licensee may at its own expense and in accordance with the terms of the Agreement make a dubbed and/or subtitled version of the Program into the "licensed language". In this event and only for Video On Demand sales, Licensee shall provide Licensor with immediate, unrestricted and free access to such Version(s) made pursuant to this agreement, including, without limitation, all subtitled and/or dubbed tracks, in perpetuity, the only cost of such access to Licensor being the cost of duplication of the tapes or tracks and the shipping of same to the Licensor. In the case of any other sales, Licensee shall provide Licensor with immediate, unrestricted access to such Version(s) including, without limitation, all subtitled and/or dubbed tracks, in perpetuity, the cost of such access to Licensor being , the cost of duplication of the tapes or tracks and the shipping of same to the Licensor
Dubbing/Subtitling. (a) If provided for in the Special Terms and Conditions, Licensee shall be entitled to subtitle and/or dub the Program(s) into the Language (the “Foreign Language Version”) provided that (i) such subtitles and/or dubbing accurately conforms in all material respects with the original version and script of the Program(s); (ii) Licensee observes all relevant restrictions applicable to artists and other third parties notified to Licensee; (iii) Licensee shall be responsible for all payments and residuals due to artists and other third parties involved in the creation of the Foreign Language Version; and (iv) Licensee shall not alter the title of the Program(s), except for a direct foreign language translation, without the prior consent of the Licensor and an intellectual property clearance of such new title. (b) The Parties agree and acknowledge that Licensee shall not be entitled to exploit the Foreign Language Version after the expiry or earlier termination of this License Agreement. (c) Licensee shall permit Licensor or its authorized third party during the License Period and thereafter (i) full access to the Foreign Language Version for the purposes of manufacturing copies and if requested by Licensor provide copies of such version at laboratory cost and (ii) shall upon request by Licensor grant to Licensor a license in perpetuity to exploit the Foreign Language Version in all media throughout the world. Licensee shall also notify Licensor of any payments due to any third party upon Licensor’s exploitation of such created version throughout the world.
Dubbing/Subtitling. Licensee is entitled to dub and/or to sub-title the Programme(s) into the language(s) granted by this contract. Any and all costs regarding the dubbing and/or the subtitling of the Programme(s) shall be fully borne by Licensee. Licensor shall have free access to the dubbed version and shall be entitled to use and grant to third parties the use of such version. Licensee shall remit the master of dubbed version to Licensor upon Licensor's fax request on loan for a period of 30 days, all shipping costs being borne by Licensor.
Dubbing/Subtitling. If the Program was originally produced ------------------ in a language other than English and will or may be distributed in English under the Main Agreement, then Saban shall prepare and deliver either a dubbed or subtitled version (at Fox's option) of the Program and of the completed trailer and such English dubbed or subtitled version shall be complete with the main credits, narrative and end titles in English. If the Program was originally produced in English or a language other than English and will or may be distributed in one or more different -2- language(s) (other than English) under the Main Agreement, then Saban shall deliver to Fox any and all existing dubbed and/or subtitled version(s) in Saban's possession or control in the applicable language(s) and shall also, reasonably in advance of the applicable Initial Video Release Date(s), either (1) make available to Fox all elements necessary to prepare the applicable language version(s), or (2) prepare and deliver to Fox the applicable language version(s). If Fox prepares the applicable language version(s), the cost of such preparation will either be a Home Video Expense under the Main Agreement (if applicable), or will be billed to Saban.
Dubbing/Subtitling. To make such dubbed and titled versions of the Program, and the trailers thereof, for purposes of secondary-audio-programming or disability accommodating programming including, but not limited to, cut in, synchronized and superimposed versions thereof in all languages and to digitalize, encode, reformat and “screen-in-screen” such versions of the Program for use in the Territory;

  • VACANCIES AND TRANSFERS A vacancy shall be defined, for purposes of this Agreement, as a position previously held by a bargaining unit member that needs to be filled, or a newly created PSS position. When all necessary parties agree, vacancies can be filled by organizational advancement or transfer from within the hiring department and shall not require posting. All vacancies will be posted for a minimum of seven (7) working days unless filled by transfer, reassignment, or recall of a laid off staff member. Notice of vacancies will be given to the Alliance President and Chief Alliance Xxxxxxx at the time they are posted on the University's electronic Notices GVSU Business board, and will be simultaneously posted at the University’s electronic employment website. A vacancy will not be filled until after the posting period has expired. Job postings shall include the classification, department, location(s), work schedule and the position description. The search committee will include a PSS member. Typically, vacancies will be posted as an open search available for both internal and external applicants. A job posting limited to internal applicants may occur upon approval. In each instance, all qualified internal applicants will receive an interview. The search committee must present strong justification for not selecting an internal applicant who meets the minimum qualifications of the position. When two applicants are equally qualified for the vacant position, based on current position description and satisfactory work and attendance, the more senior qualified staff member will receive the assignment. At the time of job offer, the University shall notify the selected staff member of any known or impending changes in the position. The Human Resources Office, or their designee, will provide internal applicants not selected for the position with rationale for the decision. Candidates who were interviewed but not selected may contact Human Resources to schedule a meeting with the Search Committee Chairperson, a Human Resource representative, and an Alliance Representative to discuss the reason for non-selection. The Alliance must notify the employer within three (3) working days that the meeting has been the step 1 meeting of the grievance process. If a meeting is requested or a grievance is filed, the position cannot be filled until this process is completed. An internal staff member selected for the position will be required to establish that they can do the job within eight (8) working days. Failure to qualify shall result in returning the selected staff member to their former position and is not subject to the grievance procedure. The staff member shall also have the option to elect to return to their former position within eight (8) working days. When making departmental changes, transfer shall be with the consent of the staff member whenever possible but when there is no reasonable alternative, it may be involuntary. When involuntary transfer is required, the least senior qualified staff member shall be transferred to a similar position (e.g., classification, full or part-time) or be given the option of electing an unpaid leave of absence with eligibility only for the next vacancy in their classification, if qualified. That person shall be disqualified from consideration when the position from which they were transferred is posted. Nothing contained in this Section is intended to prevent the University from making necessary changes in positions, eliminating positions or creating new positions.

  • LIMITATIONS ON REVERSE ENGINEERING, DECOMPILATION AND DISASSEMBLY You may not reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

  • USE OF TBS ACCESS CODE (a) An Account Holder may operate the TBS in relation to his Account by using his TBS Access Code. (b) Any Service Instructions identified by the Account Holder’s TBS Access Code shall be deemed to be given by the Account Holder and shall be conclusive and binding on the Account Holder and the Account Holder hereby authorises the Bank to act on any such Service Instructions identified by the Account Holder’s TBS Access Code. (c) All acts on the part of the Bank pursuant to such Service Instructions identified by the Account Holder’s TBS Access Code shall be conclusive and binding on the Account Holder (notwithstanding that such Service Instructions may not have been given by the Account Holder or with his consent or authority). (d) Notwithstanding and without prejudice to the other terms and conditions herein, the Bank shall be entitled (but not obliged), in its reasonable discretion, to permit the Account Holder to operate the TBS without the use of his T-PIN upon verifying the identity of the Account Holder in accordance with the Bank’s prevailing prescribed procedure at the time. (e) Notwithstanding and without prejudice to the other terms and conditions herein, the Bank shall be entitled, in its reasonable discretion, to refuse to act on all or any Service Instructions; and the Bank shall be entitled in its reasonable discretion to require written confirmation of the Account Holder’s Service Instructions (even where identified by the Account Holder’s TBS Access Code), and to refuse to act on any such Service Instructions unless and until such written confirmation is received by the Bank. (f) The use of any TBS and the TBS Access Code is also subject to the Bank’s terms and conditions governing the type of Account or facility of which the TBS may be operated in connection therewith and nothing in these terms and conditions shall be construed as amending or varying those terms and conditions. (g) The Bank shall at its reasonable discretion, be entitled to change, de- activate or revoke the use of the TBS Access Code at any time without giving any reason but with reasonable notice to the Account Holder.
