Due Authorization and Binding Obligation. The District has duly authorized the execution and delivery of this Agreement. This Agreement has been duly executed and delivered by the District and on and after the Effective Date, will constitute a legal, valid and binding obligation of the District, enforceable against the District in accordance with its terms except insofar as such enforcement may be affected by bankruptcy, insolvency, moratorium and other laws affecting creditors’ rights generally.
