Common use of Due Authorization and Binding Obligation Clause in Contracts

Due Authorization and Binding Obligation. This Agreement has been duly authorized, executed and delivered by all necessary company action of Contractor and constitutes a legal, valid and binding obligation of Contractor, enforceable against Contractor in accordance with its terms, except as the same may be limited by equitable principles or bankruptcy, insolvency or other similar laws affecting creditors' rights from time to time in effect.
