Landlord has full right, title, authority, and capacity to execute deed for the Property and the other required closing documents the (collectively, the "Closing Documents"); the execution and delivery of the Closing Documents have been duly authorized by all requisite actions of Landlord; the Closing Documents constitute valid, binding, and enforceable obligations of Landlord.
