Due Authorization; Binding Effect. This Agreement has been duty authorized, executed and delivered on behalf of Purchaser and, assuming the due authorization, execution and delivery by Issuer, this Agreement constitutes the valid, legal and binding obligation of Purchaser, enforceable in accordance with its terms, except to the extent that enforceability may be limited by bankruptcy, insolvency, moratorium or similar laws affecting the enforcement of creditors' rights generally;
