Common use of Due Authorization of Request Clause in Contracts

Due Authorization of Request. I hereby certify that (i) no action by the members, shareholders or partners, as the case may be, of Borrower is necessary to duly authorize the execution and delivery of, and the consummation of the transaction contemplated by the Request with respect to which this Certificate is delivered, or, (ii) if necessary, that attached as Exhibit A to this Certificate is a true copy of resolutions or approvals which authorize the transaction contemplated by the Request. Any such resolutions are in full force and effect and are unmodified as of the date of this Certificate.
