Due Authorization; Validity and Binding Effect. Each of the Loan Documents to which such Purchaser is a party has been duly and validly authorized, executed and delivered on behalf of such Purchaser and constitutes a valid and legally binding obligation of such Purchaser, enforceable in accordance with its terms, subject to bankruptcy and other laws of general application affecting the rights and remedies of creditors and the availability of equitable remedies.
