The Company shall have provided Purchaser access to information as Purchaser has reasonably requested in connection with its due diligence review and Purchaser shall have concluded its due diligence review of the Company to its complete satisfaction and shall be reasonably satisfied that there has been no material adverse change in the business, operations, financial condition or prospects of the Company.
