The Agent shall have completed its business, accounting and legal due diligence pertaining to the Loan Parties, the other Obligors, and the transactions contemplated hereby with results thereof satisfactory to the Agent in its sole discretion, and the Loans and this Agreement shall have been approved by the Agent’s Investment Committee.
