Common use of Due Diligence Cooperation Clause in Contracts

Due Diligence Cooperation. During the term of this Agreement, the Company will cooperate with any reasonable due diligence review conducted by the Placement Agent or its agents in connection with the transactions contemplated hereby, including, without limitation, providing information and making available documents and senior corporate officers, during regular business hours and at the Company’s principal offices, as the Placement Agent may reasonably request.

Due Diligence Cooperation. During the term of this Agreement, the Company will cooperate with any reasonable due diligence review conducted by the Placement Agent or its Agents, their affiliates, agents and counsel from time to time in connection with the transactions contemplated hereby, including, without limitation, providing information and making available documents and senior corporate officers, during regular business hours and at the Company’s principal offices, as the Placement Agent Agents may reasonably request.

During the term of this Agreement, the Company will cooperate with any reasonable due diligence review conducted by the Placement Sales Agent or its agents in connection with the transactions contemplated hereby, including, without limitation, providing information and making available documents and senior corporate officers, during regular business hours upon reasonable prior notice and at the Company’s principal officesoffices (or such other location – including by remote or virtual meeting or teleconference – as mutually agreed upon by the parties hereto), as the Placement Sales Agent may reasonably request.

During the term of this Agreement, the Company will cooperate with any reasonable due diligence review conducted by the Placement Agent Distribution Agents or its agents representatives in connection with the transactions contemplated hereby, including, without limitation, providing information and making available documents and senior corporate officers, during regular business hours and at the Company’s 's principal offices, as the Placement Agent Distribution Agents may reasonably request.

Due Diligence Cooperation. During the term of this Agreement, the Company will cooperate with any reasonable due diligence review conducted by the Placement Agent Agents or its agents representatives in connection with the transactions contemplated hereby, including, without limitation, providing information and making available documents and senior corporate officers, during regular business hours and at the Company’s principal offices, or such other location mutually agreed upon by the parties hereto, as the Placement Agent Agents may reasonably request.

During the term of this AgreementAgreement (unless a Placement Notice is not pending), the Company will cooperate with any reasonable due diligence review conducted by the Placement each Agent or its agents representatives in connection with the transactions contemplated hereby, including, without limitation, providing information and making available documents and senior corporate officers, during regular business hours and at the Company’s principal offices, as the Placement each Agent may reasonably requestrequest in writing and not interfering with the Company’s essential business operations as reasonably determined by the Company.

Each Agent agrees to cooperate with England in connection with any reasonable due diligence review conducted by such Agent or its respective representatives in connection with the transactions contemplated hereby.
