Common use of Due Diligence Representation Clause in Contracts

Due Diligence Representation. Buyer represents and warrants to Seller that Buyer (i) is an experienced and sophisticated purchaser of properties such as the Property, (ii) is specifically familiar with the Property, and (iii) has inspected and examined, or prior to the Inspection Date will inspect and examine, all aspects of the Property and its current condition that Buyer believes to be relevant to its decision to consummate its purchase of the Property. This Section 8.5 shall survive the Closing or earlier termination of this Agreement.
