Common use of Due Execution and Delivery Clause in Contracts

Due Execution and Delivery. This Agreement has been duly authorized, executed and delivered by the Stockholder and, assuming that this Agreement constitutes a valid and binding obligation of Parent, this Agreement constitutes a legal, valid and binding obligation of the Stockholder, enforceable against the Stockholder in accordance with its terms, subject to the Bankruptcy and Equity Exception. If the Stockholder is married, and any of the Covered Shares constitute community property or spousal approval is otherwise necessary for this Agreement to be legal, binding and enforceable, this Agreement has been duly authorized, executed and delivered by, and constitutes the legal, valid and binding obligation of, Stockholder’s spouse, enforceable against Stockholder’s spouse in accordance with its terms, subject to the Bankruptcy and Equity Exception.

Due Execution and Delivery. This Agreement has been duly authorized, and validly executed and delivered by the Stockholder Sxxxxxxxxxx and, assuming that this Agreement constitutes a valid due authorization, execution and binding obligation of delivery hereof by Parent, this Agreement constitutes a legal, valid and binding obligation agreement of the Stockholder, enforceable against the Stockholder in accordance with its terms, subject to the Bankruptcy and Equity Exception. If the Stockholder is an individual and is married, and any of the Covered Shares constitute community property or spousal approval is otherwise necessary for this Agreement to be legal, binding and enforceable, this Agreement has been duly authorized, executed and delivered by, and constitutes the legal, valid and binding obligation of, Stockholder’s spouse, enforceable against Stockholder’s spouse in accordance with its terms, subject to the Bankruptcy and Equity Exception.

Due Execution and Delivery. This Agreement has been duly authorized, and validly executed and delivered by by, or on behalf of, the Stockholder Covered Shareholder and, assuming that due authorization, execution and delivery of this Agreement constitutes a valid by Parent and binding obligation of ParentSub, this Agreement constitutes a legal, valid and binding obligation of the StockholderCovered Shareholder, enforceable against the Stockholder Covered Shareholder in accordance with its terms, subject to except as such enforceability may be limited by the Bankruptcy and Equity Exception. If the Stockholder Covered Shareholder is married, and any of the Covered Shares constitute community property or spousal approval is otherwise necessary for this Agreement to be legal, binding and enforceable, this Agreement has been duly authorized, executed and delivered by, and constitutes the legal, valid and binding obligation of, Stockholderthe Covered Shareholder’s spouse, enforceable against Stockholderthe Covered Shareholder’s spouse in accordance with its terms, subject to the Bankruptcy and Equity Exception.

This Agreement has been duly authorized, and validly executed and delivered by the Stockholder and, assuming that this Agreement constitutes a valid due authorization, execution and binding obligation of delivery hereof by Parent, this Agreement constitutes a legal, valid and binding obligation agreement of the Stockholder, enforceable against the Stockholder in accordance with its terms, subject to the Bankruptcy and Equity Exception. If the Stockholder is an individual and is married, and any of the Covered Shares constitute community property or spousal approval is otherwise necessary for this Agreement to be legal, binding and enforceable, such Stockholder’s spouse has delivered with this Agreement a Spousal Consent in the form attached hereto as Annex A and this Agreement has been duly authorized, executed and delivered by, and constitutes the legal, valid and binding obligation of, Stockholder’s spouse, enforceable against Stockholder’s spouse in accordance with its terms, subject to the Bankruptcy and Equity Exception.

This Agreement has been duly authorized, and validly executed and delivered by the Stockholder Xxxxxxxxxxx and, assuming that this Agreement constitutes a valid due authorization, execution and binding obligation of delivery hereof by Parent, this Agreement constitutes a legal, valid and binding obligation agreement of the Stockholder, enforceable against the Stockholder in accordance with its terms, subject to the Bankruptcy and Equity Exception. If the Stockholder is an individual and is married, and any of the Covered Shares constitute community property or spousal approval is otherwise necessary for this Agreement to be legal, binding and enforceable, this Agreement has been duly authorized, executed and delivered by, and constitutes the legal, valid and binding obligation of, Stockholder’s spouse, enforceable against Stockholder’s spouse in accordance with its terms, subject to the Bankruptcy and Equity Exception.
