Common use of Due Execution and Enforceability Clause in Contracts

Due Execution and Enforceability. This Agreement has been duly executed and delivered by Seller and assuming due authorization, execution and delivery by Buyer, this Agreement constitutes the valid and binding obligations of Seller, except as may be limited by applicable bankruptcy, insolvency, reorganization, moratorium, or other similar laws, or by general principles of equity (regardless of whether enforcement is sought in a proceeding at law or in equity). Each other agreement, document or instrument required hereunder to be executed and delivered by Seller has been, or when executed, shall be, duly executed and delivered to Buyer and constitutes, or when executed, shall constitute, legal, valid and binding obligations of Seller enforceable in accordance with their respective terms.

Each other agreement, document or instrument required hereunder to be executed and delivered by Seller Buyer has been, or when executed, shall be, duly executed and delivered to Buyer and constitutes, or when executed, shall constitute, legal, valid and binding obligations of Seller Buyer enforceable in accordance with their respective terms.
