Due Formation and Good Standing. It is duly incorporated, validly existing and in good standing under the laws of the jurisdiction of its incorporation, has corporate power and authority to carry on its business as now conducted and is duly qualified to do business, and is in good standing, in every jurisdiction where the nature of its business requires it to be so qualified except where the failure to so qualify could not reasonably be expected to have a Material Adverse Effect.
