Due Incorporation and Status of the Company. The Company has been duly incorporated and is validly existing as a corporation under the laws of the State of Wisconsin with power and authority (corporate and other) to own, lease and operate its properties and conduct its business as described in the Prospectus; the Company has not filed Articles of Dissolution with the Secretary of State of the State of Wisconsin, and no grounds exist for the Secretary of State of the State of Wisconsin to dissolve such corporation administratively pursuant to the provisions of the Wisconsin Business Corporation Law.
