Due Organization and Existence. The City is a municipal corporation and charter city, duly organized and existing under and by virtue of the Constitution and laws of the State, with the power and authority to own, lease and acquire real and personal property and equipment. To the extent permitted by law, the City agrees that during the term hereof it will maintain its existence as a charter city, will not dissolve or otherwise dispose of all or substantially all of its assets and will not combine or consolidate with or merge into any other entity or permit one or more other entities to consolidate with or merge into it.
