DUE ORGANIZATION, GOOD STANDING AND AUTHORITY. The Company is duly organized, validly existing and in good standing under the laws of the state of Delaware and is qualified to do business in every jurisdiction where necessary in light of its business and properties, except where the failure to be so qualified would not have a material adverse effect on the business or financial condition of the Company. The Company has full power, authority and legal right (a) to own or lease its assets and properties and to conduct its business as now being conducted, (b) to incur its obligations under and to perform the terms of this Agreement, the Lender Note and the Lender Warrant, and (c) to issue the Lender Warrant and Warrant Stock (as defined in the Lender Warrant).
DUE ORGANIZATION, GOOD STANDING AND AUTHORITY. Each Borrower is duly organized, validly existing and in good standing under the laws of Delaware and is qualified to do business in Colorado and Nevada and every other jurisdiction where necessary in light of its business and properties. Each Borrower has full power, authority and legal right (a) to own or lease its assets and properties and to conduct its business as now being conducted, and (b) to incur its obligations under this Agreement and each other agreement, document and instrument executed or to be executed by it pursuant hereto or in connection herewith and to perform the terms hereof and thereof applicable to it.
DUE ORGANIZATION, GOOD STANDING AND AUTHORITY. The Trustor is duly organized, validly existing and in good standing under the laws of Delaware and is qualified to do business in Arizona and every other jurisdiction where necessary in light of its business and properties. The Trustor has full power, authority and legal right (i) to own or lease its assets and properties (including the Lands) and to conduct its business as now being conducted, and (ii) to enter into its obligations under this Deed of Trust and each other agreement, document and instrument executed or to be executed by it pursuant hereto or in connection herewith and to perform the terms hereof and thereof applicable to it.
DUE ORGANIZATION, GOOD STANDING AND AUTHORITY. Royal Gold is duly organized, validly existing and in good standing under the law of the States of Delaware and Colorado. Royal Gold has the full power, authority and legal right to: (a) conduct its business as now being conducted, and (b) incur its obligations under this Agreement and to perform the terms hereof and thereof applicable to it.

The Company has full power, authority and legal right (a) to own or lease its assets and properties and to conduct its business as now being conducted, and (b) to incur its obligations under and to perform the terms of this Amendment and the Second Amended Note.

Grantor is duly organized, validly existing and in good standing under the laws of [·] and is qualified to do business in Texas and every other jurisdiction where necessary in light of its business and properties. Grantor has full power, authority and legal right (i) to own or lease its assets and properties (including the Lands) and to conduct its business as now being conducted, and (ii) to enter into its obligations under this Instrument and each other agreement, document and instrument executed or to be executed by it pursuant hereto or in connection herewith and to perform the terms hereof and thereof applicable to it.
DUE ORGANIZATION, GOOD STANDING AND AUTHORITY. Mortgagor is duly organized, validly existing and in good standing under the laws of [·] and is qualified to do business in New Mexico and every other jurisdiction where necessary in light of its business and properties. Mortgagor has full power, authority and legal right (i) to own or lease its assets and properties (including the Lands) and to conduct its business as now being conducted, and (ii) to enter into its obligations under this Mortgage and each other agreement, document and instrument executed or to be executed by it pursuant hereto or in connection herewith and to perform the terms hereof and thereof applicable to it.
DUE ORGANIZATION, GOOD STANDING AND AUTHORITY. The Trustor is duly organized, validly existing and in good standing under the laws of Delaware and is qualified to do business in Nevada and every other jurisdiction where necessary in light of its business and properties. The Trustor has full power, authority and legal right (i) to own or lease its assets and properties (including the Lands owned or leased by the Trustor) and to conduct its business as now being conducted, and (ii) to enter into its obligations under this Deed of Trust and each other agreement, document and instrument executed or to be executed by it pursuant hereto or in connection herewith and to perform the terms hereof and thereof applicable to it.
DUE ORGANIZATION, GOOD STANDING AND AUTHORITY. WMTN is duly organized, validly existing and in good standing under the laws of Colorado; TGC is duly organized, validly existing and in good standing under the laws of Alaska; and each is qualified to do business in, and is in good standing in, every jurisdiction where such qualification is required. Grantors have full power, authority and legal right (i) to own or lease their assets and properties (including the Lands) and to conduct their business as now being conducted, and (ii) to enter into their obligations under this Deed of Trust and each other agreement, document and instrument executed or to be executed by either of them pursuant hereto or in connection herewith and to perform the terms hereof and thereof applicable to them, subject to applicable bankruptcy, insolvency, reorganization, moratorium or other Laws affecting creditors’ rights generally and subject to general principles of equity, regardless of whether considered in a proceeding in equity or at law.
DUE ORGANIZATION, GOOD STANDING AND AUTHORITY. If the Subscriber is not a natural person, such Subscriber represents and warrants that it is a corporation, partnership or trust duly organized, validly existing and in good standing under the laws of its jurisdiction of organization. If the Subscriber is a natural person, it represents and warrants that (i) it is over 21 years of age, and (ii) the address set forth under its name on the signature page hereof is its true and correct address and residence.
